Terms & Conditions
By making a payment or starting a project with us, you automatically accept these Terms of Service.
1. Initial Consultation
- Before any work or payment, we offer a free 15–30 minute call (via Calendly) to discuss your project. This call is strictly for scoping and creates no commitment for either party.
- If you decide to proceed, we will present a project plan and issue an invoice for the applicable payment (see Section 4).
2. Communication & Security
- All project communication must use our official channels only. Do not send payments or sensitive information to unverified contacts.
- We are not responsible for transactions made outside official channels. If someone contacts you claiming to represent Marginliner elsewhere, notify us immediately.
3. Project Acceptance
- Completing a consultation call does not guarantee project acceptance. We reserve the right to accept, decline, or pause any project for any reason at our discretion, including before any payment is collected.
4. Payment Terms
New Clients
- A non-refundable 20% upfront payment is required before strategy, design, or development begins.
- A 40% milestone payment is due upon design approval (approximately 50% project completion).
- The final 40% balance must be cleared prior to final delivery, deployment, code handoff, or ad launch (ad spend must be paid in USD).
Returning Clients
- No upfront payment required.
- A 50% payment is due upon design approval (approximately 50% project completion).
- The final 50% balance is due prior to final delivery, deployment, code handoff, or ad launch (ad spend must be paid in USD).
- Work Commencement: Work commences upon receipt of the applicable payment above—not when deliverables are sent. Section 9’s refund policy applies from this point forward.
- Payment Disputes: Initiating a chargeback instead of contacting us directly breaches these Terms and may immediately suspend work and access.
5. Client Responsibilities & Materials
You agree to provide all required brand assets, logins, and instructions in a timely manner. Delays in providing materials directly delay your completion date, and published timelines are not guaranteed when caused by late or incomplete client input.
• Logos & High-Res Assets
• Product Images / Raw Footage
• Brand Guidelines & Copy
• Domain & DNS Access
• Payment Gateway Logins
• Meta Business Manager Access
6. Service-Specific Terms
A. Meta Ads Campaigns
- Ad Spend Excluded: Management fees cover agency labor only. Ad budgets are paid directly by you to Meta via your attached payment method.
- No Sales/ROAS Guarantees: Ad performance depends on market demand, product price, offer quality, inventory, and external economic factors. We optimize for high performance but do not guarantee exact revenue or sales figures.
- Client Compliance Responsibility: You are responsible for ensuring your product, offer, and ad content comply with Meta's advertising policies. We are not liable for account flags, business manager bans, or page restrictions arising from your product, claims, or content, whether imposed by Meta's automated systems or manual review.
B. Website Development
- Third-Party Costs: Domain names, web hosting, paid Next.js/Vercel add-ons, premium plugins, paid APIs, and payment gateway transaction fees are paid separately by the client.
- Bug-Fix Window: For 7 days after final delivery, we will fix genuine defects where delivered functionality does not match the agreed brief, at no extra cost. New requests, changed requirements, and anything not in the original brief are billed separately regardless of when they're raised.
- Post-Launch Maintenance: Revisions or feature requests outside the bug-fix window, or requested after final project sign-off and deployment, are billed separately as a new project.
7. Scope Changes & Revisions
- Each milestone includes an agreed number of revision rounds (confirmed at kickoff) for existing features. Revisions beyond that limit are billed separately.
- New pages, post-approval design overhauls, or features beyond the brief require an updated quote and revised timeline.
8. Inactivity & Abandonment (Ghosting Policy)
- Failing to provide feedback, assets, or approvals for more than 14 consecutive days without prior notice puts your project on hold.
- Projects inactive for 30+ days will be archived and marked complete. A 20% restart fee applies.
- This policy applies from the payment date if initial assets or access (Section 5) are not provided to start work.
9. Refund Policy
- All payments are strictly non-refundable once work has commenced, as defined in Section 4.
- Exception: if we have not commenced work within 3 business days of payment receipt, and no delay is caused by missing client materials or access (Section 5), that payment is refundable in full upon request.
10. Previews, Drafts & Intellectual Property
- All work-in-progress code, designs, and strategy documents remain Marginliner’s sole property until the final invoice is paid in full.
- Unauthorized use or distribution of unreleased preview materials before final settlement results in immediate project termination and legal action.
- Staging links, previews, and repository access are provisional. Without final payment, access will be revoked, staging taken down, and no assets or credentials transferred.
- Upon full payment, ownership of final assets transfers to the client. Marginliner retains the right to showcase the completed work in portfolio and case studies.
11. Confidentiality
- Any business, financial, or account information shared with us during the consultation call or project will be used solely for delivering the agreed services and will not be disclosed to third parties without your consent, except as required to complete the work (e.g., ad platform access) or by law. (Check section 10)
12. Agreement Termination
- Violation of any clause in these Terms, abusive or unprofessional conduct, or breach of communication rules gives us the right to stop services and cancel the agreement without issuing a refund.
13. Project Handoff & Completion
- Upon final balance clearance and asset delivery, the project is marked complete and handed off to you.
- Further support after handoff will require a maintenance package or a new project agreement. (Schedule a call the same way as before.)
14. Governing Law
- These Terms are governed by the laws of Bangladesh, without regard to conflict-of-law principles.
